The 50th Civil Conciliation Division of the Seoul Central District Court decided to quote on the request for an injunction against exercising voting rights filed by Representative Min Hee-jin against HYBE on the 30th.
As a result, HYBE is expected to be unable to exercise its voting rights on the proposal for the dismissal of Representative Min Hee-jin at the ADOR interim general meeting scheduled for the 31st. Representative Min Hee-jin will be able to maintain her position as the representative director of ADOR.
HYBE, which holds 80% of ADOR’s shares, submitted a proposal for the dismissal of Representative Min Hee-jin as an agenda item at the interim general meeting. HYBE has already nominated a new representative and board of directors for ADOR. In opposition to this, Representative Min Hee-jin filed for an injunction with the Seoul Central District Court to prevent the exercise of voting rights at the interim general meeting.
The court held a hearing on the 17th to examine whether the ‘shareholder agreement’ could restrict the exercise of voting rights under corporate law.
With the acceptance of the injunction application filed by Representative Min Hee-jin, the ‘uncomfortable cohabitation’ between Representative Min Hee-jin and HYBE is expected to continue.
However, as HYBE is expected to replace ADOR executives excluding Representative Min Hee-jin, Representative Min Hee-jin is also expected to face significant constraints on her management.
